Transfer & Transition Terms

How a dedicated client application, data, and supported infrastructure can be transitioned to the client or a replacement technology provider.

Effective September 24, 2026

These are general Denton BBQ service terms. A signed client agreement, statement of work, service schedule, or order controls if it contains different terms for a specific client or project.

1. Purpose

Denton BBQ's managed-services model is intended to avoid unnecessary technical administration for clients while preserving an orderly exit path. When a client-specific system is designed as a transferable managed project, Denton BBQ may transition supported project resources to the client or its designated successor provider at the end of the relationship.

2. Transferable Resources

Subject to the applicable client agreement, platform capabilities, licensing restrictions, payment status, and technical feasibility, transferable resources may include a client-specific source repository, hosting project, database project, authentication application, configuration documentation, exported client data, and other dedicated resources identified in the project records.

A transfer does not include Denton BBQ's shared accounts, internal systems, reusable frameworks, unrelated client resources, trade secrets, credentials for other systems, or Denton BBQ-owned SaaS products unless a written agreement expressly provides otherwise.

3. Destination Requirements

The client or successor provider is responsible for creating any required destination accounts, accepting platform terms, adding payment methods, configuring multifactor authentication, and providing the permissions necessary to receive transferred resources.

Some services do not support direct account-to-account transfer of every resource. Where direct transfer is unavailable, Denton BBQ may provide a reasonable export, migration, reconfiguration, or rebuild path for the affected component.

4. Transition Work

Transition assistance is billable at Denton BBQ's then-current rate unless included in a written agreement. Transition work may include documentation, data export, repository transfer, project transfer, environment-variable inventory, credential rotation, DNS coordination, deployment testing, and reasonable cooperation with the successor provider.

Denton BBQ is not responsible for the successor provider's work, configuration, security practices, or changes made after control has been transferred.

5. Timing and Decommissioning

The parties should agree on a practical transition window. After a completed handoff and any agreed verification period, Denton BBQ may revoke its own access, remove obsolete credentials, stop recurring managed services, and decommission remaining Denton BBQ-hosted copies according to the applicable agreement and retention requirements.

Questions about these terms?

Client-specific requirements should be documented in the applicable proposal, statement of work, service agreement, or secure client legal record.
