End User License Agreement
License terms for Denton BBQ-owned software, client portals, and hosted software products.
Effective September 25, 2026
1. Scope and Acceptance
This End User License Agreement ("EULA") applies to Denton BBQ LLC software, client portals, and software-as-a-service products that Denton BBQ owns or operates (collectively, the "Software"), when this EULA is identified in an applicable subscription, order, client agreement, or electronic acceptance flow. A client-specific signed agreement or order controls if it conflicts with this EULA.
A person using the Software for a business or client must be authorized by that business or client. This page is provided for review; viewing it alone does not record or create electronic acceptance. Where an electronic acceptance flow is provided, the person accepting represents that they have authority to bind the applicable business or client.
2. License Grant
Subject to the applicable agreement, payment of applicable fees, and compliance with this EULA, Denton BBQ grants the client a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Software for the client's internal business purposes during the applicable subscription or service term.
The license covers only the Software and features included in the applicable service. It does not transfer ownership of the Software, source code, or Denton BBQ intellectual property.
3. Authorized Users and Account Security
The client may permit its employees, contractors, and other approved representatives to use the Software as authorized users, within the access limits of the applicable plan or agreement. The client is responsible for its users' compliance with this EULA and for promptly removing access when a user is no longer authorized.
Users must protect their authentication credentials, use any available security controls, and promptly report suspected account compromise or unauthorized access to Denton BBQ.
4. Restrictions
Except to the extent a restriction is prohibited by applicable law, the client and its users must not:
- Copy, modify, translate, distribute, sell, lease, sublicense, or create derivative works of the Software except as expressly allowed by a written agreement.
- Reverse engineer, decompile, disassemble, or attempt to discover source code, underlying ideas, or algorithms, except where applicable law expressly permits the activity.
- Circumvent authentication, security, rate limits, or other technical restrictions, or access accounts, systems, or data without authorization.
- Use the Software to violate law or another person's rights, transmit malicious code, or interfere with the integrity, availability, or security of the Software.
- Remove or obscure proprietary notices, or use the Software to provide an unauthorized service bureau or resale offering.
5. Client Data and Content
As between Denton BBQ and the client, the client retains its rights in data and content it submits to or stores in the Software ("Client Data"). The client grants Denton BBQ a limited right to host, process, transmit, back up, and display Client Data only as reasonably necessary to provide, secure, support, and improve the contracted service, or as otherwise directed by the client or required by law.
The client is responsible for having the rights and permissions needed to provide Client Data and for the accuracy and lawfulness of that data. Data handling, retention, export, and deletion are further governed by the applicable agreement and Denton BBQ's Data Ownership & Portability Terms and Privacy Policy.
6. Ownership and Third-Party Components
Denton BBQ and its licensors retain all rights in the Software, including its design, code, documentation, updates, and related intellectual property, except for rights expressly granted in writing. Client-specific deliverables and other project work are governed by the applicable statement of work or service agreement.
The Software may include or interoperate with third-party or open-source components. Those components are governed by their own licenses and provider terms; this EULA does not limit rights granted under an applicable open-source license.
7. Updates, Support, and Availability
Denton BBQ may maintain, update, modify, or discontinue Software features as reasonably necessary for security, operation, or service development. Support, maintenance commitments, service levels, and availability targets apply only when stated in the applicable client agreement or service schedule.
The Software depends in part on internet connectivity and third-party providers. Provider outages, maintenance, security events, network issues, and other circumstances outside Denton BBQ's reasonable control may affect availability. The Hosting & Managed Services and Third-Party Services Terms provide additional details.
8. Fees, Suspension, and Termination
Fees, renewal, cancellation, and payment terms are set out in the applicable subscription, order, invoice, or client agreement. Denton BBQ may suspend or terminate access as permitted by that agreement, including when reasonably necessary to address a security risk, unlawful use, material breach, or overdue payment.
When the applicable license ends, the client and its users must stop using the Software. Client Data handling and any transition assistance after termination are governed by the applicable agreement and Data Ownership & Portability and Transfer & Transition Terms.
9. Warranty Disclaimer
To the fullest extent permitted by law, the Software is provided on an "as available" basis. Except for express commitments in a signed client agreement, Denton BBQ disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Nothing in this EULA excludes a warranty or right that applicable law does not allow to be excluded.
10. Limitation of Liability
Liability arising from the Software is governed by the applicable signed client agreement and Denton BBQ's Liability & Risk Terms. If those documents do not address a claim, then to the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from this EULA. Nothing in this section limits liability that cannot lawfully be limited.
11. Governing Law and Contact
This EULA is governed by Texas law, without regard to conflict-of-law rules, unless the applicable signed client agreement specifies otherwise. Any dispute-resolution process in that agreement controls.
Questions about this EULA may be sent to Denton BBQ LLC at jeff@dentonbbq.com.
