Liability & Risk Terms
General risk allocation for managed technology services, including third-party failures, outages, cybersecurity events, and limitations of damages.
Effective September 24, 2026
1. Technology Risk
Technology services involve risks that cannot be eliminated completely, including software defects, malicious activity, credential compromise, internet outages, provider failures, data corruption, hardware failure, and changes made by third-party platforms. Denton BBQ uses reasonable safeguards and operating practices but does not guarantee that every incident can be prevented.
2. Third-Party Providers
Denton BBQ is not responsible for acts or omissions of independent third-party providers beyond Denton BBQ's reasonable control. This includes outages, pricing changes, discontinued features, policy changes, security incidents, API limitations, payment holds, provider suspensions, or failures of services supplied by third parties.
3. Excluded Damages
To the fullest extent permitted by law and unless a signed agreement states otherwise, Denton BBQ will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, lost revenue, lost business opportunity, reputational harm, or loss of anticipated savings arising from the services.
4. Liability Cap
Unless a signed client agreement provides a different limitation, Denton BBQ's aggregate liability arising from a managed service will not exceed the fees actually paid to Denton BBQ for the affected managed service during the six months immediately preceding the event giving rise to the claim. This limitation does not apply where applicable law prohibits such a limitation.
5. Client-Caused Events
Denton BBQ is not responsible for losses caused by unauthorized client actions, client-provided content or instructions, weak or shared credentials, failure to use available security controls, inaccurate data supplied by the client, actions of the client's personnel or contractors, or changes made outside Denton BBQ's control.
6. Force Majeure
Neither party is responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, severe weather, fire, war, terrorism, civil unrest, widespread internet or utility failures, government action, labor disruptions, epidemics, or material failures of third-party infrastructure.
