Hosting & Managed Services Terms

General terms for Denton BBQ-managed hosting, infrastructure, maintenance, application operations, and related technical services.

Effective September 24, 2026

These are general Denton BBQ service terms. A signed client agreement, statement of work, service schedule, or order controls if it contains different terms for a specific client or project.

1. Scope

These terms describe the general operating framework for hosting, maintenance, managed applications, infrastructure administration, and related technical services provided by Denton BBQ LLC ("Denton BBQ"). A signed proposal, statement of work, order, or service agreement may add to or replace these terms for a specific client.

Denton BBQ may use third-party infrastructure and software providers to deliver managed services, including hosting, database, authentication, storage, messaging, payment, analytics, and integration platforms.

2. Managed Infrastructure

Unless a written client agreement states otherwise, Denton BBQ may provision, own, administer, and pay for the technical accounts used to operate a managed client solution. The client is not required to maintain developer accounts, cloud billing, deployment credentials, or infrastructure administration solely because Denton BBQ uses those services to provide the managed solution.

Client-specific production resources may be maintained as logically separate projects, applications, databases, repositories, or storage resources when practical so they can be managed, backed up, scaled, or transitioned independently.

3. Availability and Capacity

Denton BBQ will use commercially reasonable efforts to operate managed services reliably, but no internet-based system can be guaranteed to be uninterrupted or error-free. Service may be affected by maintenance, software defects, provider outages, network failures, security events, force majeure events, or circumstances outside Denton BBQ's reasonable control.

Usage, bandwidth, storage, database activity, authentication volume, messaging, file transfer, and other infrastructure consumption may affect operating cost. If sustained usage materially exceeds the level contemplated by the applicable service plan, Denton BBQ may recommend or require a plan, architecture, or pricing adjustment.

4. Maintenance and Changes

Denton BBQ may apply security updates, dependency updates, configuration changes, bug fixes, infrastructure migrations, and other maintenance reasonably necessary to operate and protect the service. Material feature changes or project additions may require a separate estimate or statement of work.

5. Client Responsibilities

  • Provide accurate business requirements, authorized contacts, and timely approvals.
  • Use the service lawfully and maintain appropriate access controls for its users.
  • Promptly report suspected unauthorized access, security incidents, or material errors.
  • Maintain ownership or authorized use rights for content, data, domains, trademarks, and materials supplied to Denton BBQ.
  • Pay agreed recurring, usage-based, project, and third-party pass-through charges when applicable.

6. Suspension

Denton BBQ may temporarily restrict service when reasonably necessary to address a security threat, unlawful use, material breach, nonpayment, provider requirement, or risk to other systems. Denton BBQ will use reasonable efforts to provide notice when circumstances permit.

Questions about these terms?

Client-specific requirements should be documented in the applicable proposal, statement of work, service agreement, or secure client legal record.
