Billing, Suspension & Termination Terms
General terms for recurring fees, project charges, usage costs, suspension, termination, and transition assistance.
Effective September 24, 2026
1. Fees
Fees may include project charges, recurring managed-service fees, support or development time, infrastructure usage, third-party subscriptions, transaction fees, messaging costs, storage, data transfer, and other charges described in the applicable proposal, invoice, order, or agreement.
2. Usage-Based Costs
If infrastructure or provider usage materially exceeds the amounts contemplated by the service plan, Denton BBQ may pass through applicable usage costs or propose a revised service tier. Denton BBQ will use reasonable efforts to communicate material recurring cost changes when practical.
3. Nonpayment and Suspension
Denton BBQ may suspend nonessential work or, after reasonable notice when circumstances permit, suspend managed services for materially overdue undisputed amounts. Emergency security restrictions may be applied without advance notice when necessary to protect systems or data.
4. Termination
Termination rights and notice periods are governed by the applicable client agreement. Unless otherwise agreed, amounts earned for completed work and accrued third-party or usage charges remain payable through the effective termination date.
5. Transition After Termination
Following termination, client-owned data remains subject to the Data Ownership & Portability Terms. Transfer of dedicated technical resources and cooperation with a successor provider are governed by the Transfer & Transition Terms. Transition assistance may be billed separately unless included in the applicable agreement.
